Terms of Use of RFS Webshop Account

1. Scope

Your RFS Webshop Account is provided by Radio Frequency Systems GmbH, a company incorporated in Germany and having its registered office at Kabelkamp 20, 30179 Hannover, German (“RFS”), who is your contract partner for registration and use. 

2. Business Account

1. The RFS Webshop is accessible to professional businesses only. Professional business are natural or legal persons or a partnership with the legal capacity, who when concluding a legal transaction, act in the exercise of their commercial or independent professional activity.
2. Businesses may only register for an account if they have their registered office within the European Union.
3. Deliveries are only made within Germany and german neighbouring countries.

3. Registration/ Creation of a Webshop Account

1. Registration to create a Webshop Account is made by inserting the requested information.
2. You can cancel the registration process or alter registration information at any time prior to clicking the “Create an Account” button by either amending the information or closing the web browser.
3. RFS will check the information given by you and decide whether to accept your offer for registration. Your RFS Webshop Account will only be created and activated once you receive an E-Mail confirming acceptance.
4. In the course of registration you will be asked to insert personal data needed to process your registration. Your personal data will be treated according to RFS Data Privacy Policy.
5. Your registration is free of charge.
6. RFS reserves the right to perform reasonable checks from time to time to verify the identity of you and your business and to request further information to make sure that you fulfil the registration requirements for the RFS Webshop.

 4. Customer Obligation

1. You are obliged to give full and truthful information and to maintain such information up to date for as long as you have an RFS Webshop Account. In particular you must not give a wrong email address or use a false identity regarding yourself and your business. You shall be liable and bear all consequences deriving out of any false information or statements given. You are responsible for ensuring that the information your provide us with is correct and complete and shall inform us of any changes to such information.
2. You are responsible to keep your access data for the RFS Webshop confidential and protect them from any unauthorised access by third parties. To the extent permitted by law you agree and accept responsibility for all activities that are performed under your RFS Webshop Account and your credentials. Should you believe that the log in data or the data or your RFS Webshop Account have been compromised you should inform RFS immediately. For such case RFS recommends that you change your password immediately.
3. You must not use the RFS Webshop Account for any fraudulent purpose nor must you use it in connection with any illegal actions.
4. You must not resell any items bought through the RFS Webshop. 

5. RFS Obligation

1. RFS will use best endeavours to ensure uninterrupted availability and error-free transmission of the RFS Webshop. However, given the nature of internet, RFS cannot guarantee this. Further RFS reserves the right to suspend or restrict access to the RFS Webshop Account to enable maintenance, repairs or updates to the Webshop. 
2. RFS is liable without limitation for damage caused by intentional or gross negligent breach of this Terms of Use and for negligent breach of essential obligations (“Kardinalpflichten”) but only for damages that are foreseeable and typical for this kind of contract. Any other liability is expressly excluded.
   Notwithstanding the above nothing shall exclude RFS´s liability for intent, death, injury, bodily harm or liability deriving out of the German Product Liability Act (“Produkthaftungsgesetz”.   

6. Termination, Suspension, and cancellation of your account

1. The Customer may terminate this contract and cancel the RFS Webshop account at any time by contacting RFS
2. Cancellation will lead to the fact that the account will be deleted and purchases can no longer be made through the RFS Webshop. Outstanding purchases will be delivered as and if agreed through the “RFS General Terms of Sale via Webshop”.
3. RFS may terminate the account at any time with 5 days notice. A termination will lead to a complete deletion of your RFS Webshop Account. 
4. RFS may terminate or suspend and you may terminate the RFS Webshop Account for cause in case of a breach of this conditions or any other terms and conditions agreed between the parties through the use of the RFS website or RFS Webshop (wichtiger Grund) with immediate effect. 

7. Change to the Terms of Use

RFS reserves the right to make changes to this Terms of Use at any time. Such changes shall be notified to you with six weeks prior notice (“Change Notice”). Should you not agree to such changes you may terminate your Account at any time from receipt of the Change Notice until they come into effect. 

8. Applicable Law

Unless otherwise agreed by the Parties, these Terms of use shall be governed by the laws of Germany, with the exception of the conflict of law provisions and the provisions of the UN Sales law (CISG) without giving effect to its principles of conflict of laws. Any dispute or difference between the Parties concerning the validity or interpretation of the Contractual Documents or anything contained herein, or in connection therewith or relating to any of the rights, duties, obligations, or the performance thereof, shall be finally settled by the competent court of Hannover.
