Terms of Use of RFS Webshop Account
1. Scope
The RFS Webshop is operated by Radio Frequency Systems GmbH, a company registered in Germany with its headquarters at Kabelkamp 20, 30179 Hannover, Germany ("RFS"), on the website https://rfstore.rfsworld.com/ ("Website").
RFS is your contractual partner for registration and use. Use of the RFS Webshop and registration for a Webshop account are only permitted under the following General Terms and Conditions of the RFS Webshop ("Webshop Terms of Use"). By accessing the Website or any of its subpages, the user agrees to the current version of the Webshop Terms of Use.
The RFS Webshop is exclusively accessible to businesses users. Professional businesses are natural or legal persons or partnerships with legal capacity, acting in the course of their commercial or independent professional activity when entering into a legal transaction. Companies and authorized individuals from these companies may only register for a Webshop account if they are located within the European Union and Switzerland, collectively referred to as "Users." Deliveries are only made within Germany and its neighboring countries.
2. Registration/Creation of a Webshop Account
The user submits a request for registration to create a Webshop account by entering the requested information during the registration process. The user may cancel the registration process at any time before clicking the "Create Account" button or modify the registration information by editing the details or closing the web browser. RFS reviews this information and decides whether to accept the request for registration and account creation. The RFS Webshop account will only be created and activated once the user receives a confirmation email. During registration, the user is asked to provide personal data necessary for processing the registration. This personal data will be handled in accordance with the RFS Privacy Policy (available at https://www.rfsworld.com/legal/data-privacy). Registration is free of charge. RFS reserves the right to conduct reasonable checks from time to time to verify the user's identity. Therefore, RFS reserves the right to request additional information from the user at any time to ensure the registration requirements for the RFS Webshop continue to be met.
3. User Obligations and Liability
The user must not use a false identity or provide incorrect email addresses. The user is required to provide complete and truthful information. Furthermore, the user is responsible for keeping the information provided up to date for the duration of the Webshop account and must promptly inform RFS of any changes to this information. The user is responsible for keeping their login credentials for the RFS Webshop account confidential and protecting them from unauthorized access by third parties. The right to use the Webshop is non-transferable and applies solely to the registered user. The user must not use the RFS Webshop account for fraudulent purposes or in connection with illegal activities. The user is prohibited from reselling or otherwise transferring items purchased via the RFS Webshop to third parties if doing so directly or indirectly violates applicable laws or other regulations.
The user agrees to bear all consequences resulting from the violation of these contractual obligations and/or any activities conducted under their RFS Webshop account. As far as legally permissible, the user is fully liable for all damages and/or other disadvantages incurred by RFS or a third party due to the user's breach of duties.
If the user suspects that their login credentials or data related to their RFS Webshop account are at risk, they must inform RFS immediately. In such a case, RFS recommends that the user change their password without delay.
4. RFS Obligations and Liability
RFS will make its best efforts to ensure uninterrupted availability and error-free transmission of the RFS Webshop. However, due to the nature of the internet, RFS cannot guarantee this. RFS also cannot guarantee that the content provided in the Webshop will remain permanently available or unchanged. Furthermore, RFS reserves the right to suspend or limit access to the RFS Webshop account for maintenance, repairs, or updates.
RFS is fully liable for damages caused by intentional or grossly negligent violations of these Webshop Terms of Use, as well as for damages caused by intentional or negligent violations of essential obligations ("cardinal obligations"), but only for foreseeable and typical contract-related damages. Any other liability is expressly excluded. Notwithstanding the above, nothing excludes RFS’s liability for intent, death, injury, bodily harm, or liability under German product liability law.
5. Termination, Suspension, and Deletion of the Webshop Account
The user may terminate this contract and their RFS Webshop account at any time by sending an email to RFS at rfs.store@rfsworld.com. RFS may terminate the user's Webshop account at any time with a 5-day notice by email. Termination will lead to the complete deletion of the RFS Webshop account. Pending purchases will be delivered according to the "General Terms and Conditions of Sale for RFS via the Webshop" (available at https://rfstore.rfsworld.com/terms-conditions) as agreed.
RFS may terminate or suspend the Webshop account for important reasons, such as a severe violation of these Webshop Terms of Use or other conditions agreed upon between the parties regarding the use of the RFS Website or Webshop, without prior notice. The user will be informed of this as soon as possible. In this case, RFS reserves the right to decide on the settlement of pending orders on a case-by-case basis.
6. Changes to the Terms of Use
RFS reserves the right to change these Terms of Use at any time. Such changes will be communicated to the user six weeks in advance ("Change Notice"). If the user does not agree to these changes, they will no longer be able to use the Webshop account once the changes take effect.
7. Jurisdiction and Applicable Law
Unless otherwise agreed, these Webshop Terms of Use are governed by German law, excluding conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG), with a waiver of its conflict-of-law principles. The place of jurisdiction is Hannover. Any dispute or disagreement between the parties regarding the validity or interpretation of the contractual documents or anything contained herein or related thereto will be conclusively decided by the competent court in Hannover.
